Authenticity, Validity & Monitoring of Content

Members understand that G2X will not be liable for any errors or omissions in any content posted through the G2X platform nor information learned through interactions with other members. While G2X will facilitate and manage the conversation, the nature of intelligence is that a percentage of information or content posted will lack accuracy, will be invalid or will be dated, and the authenticity of the other members cannot be guaranteed.

It is the sole responsibility of the member to review and evaluate any content or information and to do their own research to ascertain the validity or accuracy. Under no circumstances will G2X be liable for the accuracy, integrity, or quality of any content, nor will G2X be responsible for any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

The G2X platform allows members to flag and report any inaccurate content, as well as any members who are acting in a manner that is believed to be intentionally misleading. Any reported items will be evaluated and the appropriate action will be taken by the G2X community managers. However, we reserve the right to take no action.

Indemnification, Warranty & Liability

By using this site, members accept these community guidelines and the privacy policy, and agree to indemnify and otherwise hold harmless G2X, its officers, community managers, contributors, and other partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with the member's access to or use of G2X services and platforms, violation of these guidelines, or infringement of any third-party rights.

Disclaimer of Warranties. The G2X platform and all content, information, and services provided through it are offered on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. G2X does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Limitation of Liability. To the maximum extent permitted by applicable law, G2X shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability. In no event shall G2X's total aggregate liability to any member for all claims arising out of or related to these guidelines or the use of G2X services exceed the total amount of membership fees paid by that member to G2X during the twelve (12) months immediately preceding the event giving rise to the claim.

G2X makes no guarantees that any content, documents, or information on the platform is reliable, or that the information will meet members' needs, or that technical issues will be addressed in a timely manner, or at all.

Dispute Resolution & Arbitration

Governing Law. This agreement between a member and G2X shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Mandatory Arbitration. Any dispute, controversy, or claim arising out of or relating to these guidelines, the privacy policy, or the use of G2X services — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in the State of Delaware or, at G2X's discretion, remotely via videoconference. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against G2X. If for any reason a claim proceeds in court rather than in arbitration, you and G2X each waive any right to a jury trial.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Additionally, claims for amounts within the jurisdiction of a small claims court may be brought in such court without first submitting to arbitration.

Opt-Out Right. You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting these guidelines. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of the State of Delaware as described below.

Judicial Forum. For any disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of the Court of Chancery of the State of Delaware, or if such Court does not have subject matter jurisdiction, the Superior Court of the State of Delaware, or if jurisdiction is vested exclusively in the Federal courts of the United States, the Federal courts sitting in the State of Delaware. The parties agree that a final judgment in any such claim is conclusive and may be enforced in any other jurisdiction by suit on the judgment or in any other manner provided by law.

Force Majeure

G2X shall not be liable for any failure or delay in performing its obligations under these guidelines to the extent that such failure or delay results from circumstances beyond G2X's reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions or orders, embargoes, labor disputes, strikes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyberattacks, failures of third-party hosting or cloud infrastructure providers, or any other event that could not have been reasonably foreseen or prevented.

In the event of a force majeure event, G2X will make commercially reasonable efforts to resume performance as soon as practicable and will provide notice to affected members when feasible. If a force majeure event continues for more than sixty (60) consecutive days, either party may terminate the membership upon written notice, and G2X will provide a pro-rata refund of any prepaid membership fees for the unused portion of the billing period.

Membership Dues, Fees & Billing

G2X reserves the right to charge membership fees and to change or modify fees at its discretion. G2X reserves the right to discontinue any portion of the online or offline services without prior notice, including g2xchange.com and any website under the *.g2xchange.com domain.

G2X offers membership plans billed on either a monthly or annual basis, depending on the tier selected. All membership fees are non-refundable. Membership fees are charged per person and sharing of accounts is strictly prohibited. G2X reserves the right to offer promotions and promotional codes to specific user groups (e.g., individuals who are sole proprietors or work for small businesses) and loyalty discounts.

Automatic Renewal: Your membership will automatically renew at the end of each billing period (monthly or annually, depending on your plan) and the applicable membership fee will be automatically charged to the payment method on file unless you cancel before the renewal date. The renewal fee will be at the then-current rate for your plan, which G2X may adjust at its discretion. G2X will send a renewal notification via email prior to each automatic renewal, including the renewal date, amount to be charged, and instructions on how to cancel.

How to Cancel: Members may cancel at any time through their account settings or by contacting Member Services. Upon cancellation, you will retain access to your membership benefits through the end of your current paid billing period.

Members have the option to change to another valid payment method at any time.

Data Retention & Account Deletion

Upon cancellation or termination of a membership, G2X will deactivate the member's account and remove access to all G2X services. G2X will retain member data only as long as necessary to fulfill our legal obligations, resolve disputes, and enforce our agreements. Specifically:

  • Account profile information and personally identifiable data will be deleted or anonymized within 90 days of account termination, unless retention is required by law.
  • Billing and transaction records may be retained for up to 7 years to comply with tax and accounting requirements.
  • Content you posted or shared on the G2X platform prior to termination may be retained by G2X in accordance with the shared content provisions of these guidelines.

Severability. If any provision of these guidelines is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

No Waiver. The failure of G2X to exercise or enforce any right or provision of these guidelines shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by G2X to be effective.
