NOTICE OF INTENT TO AWARD - Specialized Legal Advisory Services

This is a Notice of Intent: Pursuant to FAR 6.302-1, "Only One Responsible source and No Other Supplies or Services Will Satisfy Agency Requirements", the Department of Energy (DOE) is planning to issue a sole-source contract to enable the DOE to obtain specialized legal advisory services from Allen and Overy (A&O) in support of the Department's efforts to monitor and address its guarantee of loans made to Tonopah Solar Energy (the "Loan Guarantee"). The DOE intends to award a two year contract (including options) to A&O. The contract will include a twelve-month base period and one twelve-month option period. A&O possesses unique specialized experience and expertise derived from their close working relationship with the Department concerning the Loan Guarantee in the areas of finance and contract matters. A&O is the only organization with the specialized experience to provide the specific legal advisory services required by the Department to protect its interests and owns all rights to their proprietary documents and software. It is deemed appropriate to award a time and material/labor hour contract on "Other than a Full and Open Competitive" basis. Only one responsible source is available and no other types of services will satisfy the needs of the Department.
